Area of Focus
As chair of the firm’s Private Equity & Venture Capital practice area, Mr. Fogler focuses on the representation of growing companies and the investors who support them. He has counseled clients from incorporation through their initial public offerings. He has experience in a broad variety of matters, including financings, public and private M&A transactions, licensing and commercial agreements, employee compensation plans, public company reporting and domestic and international joint ventures.
Mr. Fogler has assisted private equity investors in evaluating, structuring, negotiating and completing a variety of transactions. He has counseled numerous investors, including angels, venture capital and other private equity funds and investment banks. He has represented these investors in the formation of their funds and in seed round investments, later stage transactions (including managed private placements and leveraged buy-outs), and public offerings of equity and debt securities.
